General Terms and Conditions of Velometrik GmbH

1. Scope
These General Terms and Conditions apply to all deliveries and services of Velometrik GmbH to consumers and businesses.
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession. A business is a natural or legal person or a legal partnership that, when entering into a legal transaction, acts in the exercise of its trade, business, or profession.
For international B2B transactions, only the B2B provisions of these Terms and Conditions apply.

3. Conclusion of Contract
The presentation of products in the online shop is not a legally binding offer. A contract is concluded when we accept the order in writing or by email, or when we deliver the goods. A reachable email address must be provided during the ordering process.
4. Prices
The prices stated at the time of the order apply.
- For deliveries to consumers, prices are final prices including the applicable statutory VAT.
- For deliveries to businesses, prices are net prices plus any applicable taxes, duties, customs, and fees.
Price and product changes are possible. The binding agreement is the respective order confirmation.
5. Packaging
Packaging is handled in accordance with legal requirements. Disposable packaging becomes the property of the customer upon delivery. Reusable and transport packaging remains our property and must be returned upon request.
6. Payment Methods
For consumers (B2C) within the EU:
- Advance payment by bank transfer
Payment is due immediately after conclusion of the contract. Delivery will take place after receipt of payment.
For businesses (B2B) based in Germany or Austria:
- Advance payment by bank transfer
- Purchase on account following prior written confirmation by us. Payment term according to order confirmation.
For businesses (B2B) based outside Germany and Austria:
- Advance payment by bank transfer only
Our bank details will be provided in the order confirmation. We reserve the right to offer only specific payment methods in individual cases.
7. Delivery and Delivery Times
Deliveries are made worldwide unless otherwise agreed. Delivery times will be specified in the order confirmation. The delivery date we have provided is an estimate and may be subject to change due to unforeseeable disruptions (e.g., force majeure, strikes, supply chain issues). Partial deliveries are permissible where reasonable.
8. Shipping Costs and Import Duties
Shipping costs are shown in the offer, the order confirmation, or at checkout. For deliveries outside the European Union, additional costs such as customs duties, import taxes, or fees may apply. These are to be borne by the buyer.
9. Right of Withdrawal for Consumers
Consumers have a statutory right of withdrawal. Businesses have no right of withdrawal.
Withdrawal Policy
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day on which you, or a third party named by you who is not the carrier, took possession of the goods.
To exercise your right of withdrawal, you must inform us of your decision to withdraw from this contract by means of a clear statement by letter or email.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period expires. Upon receipt of your withdrawal, we will send you confirmation by email.
Consequences of Withdrawal
If you withdraw from this contract, we will reimburse all payments we have received from you, including delivery costs (except for any additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and no later than fourteen days from the day on which we received your notice of withdrawal. We will use the same means of payment you used for the original transaction unless expressly agreed otherwise. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods.
You must return the goods to us without undue delay and in any event no later than fourteen days from the day on which you informed us of your withdrawal. The deadline is met if you send back the goods before the fourteen-day period has expired. You bear the direct costs of returning the goods. You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.
Exclusion of the Right of Withdrawal
The right of withdrawal does not apply to contracts for the supply of goods that are not prefabricated and for the manufacture of which an individual choice or decision by the consumer is decisive, or which are clearly tailored to the personal needs of the consumer.

10. Retention of Title
The goods remain our property until full payment has been made. In relation to businesses, we retain title to the goods until all claims arising from the ongoing business relationship have been settled.
11. Warranty
The statutory warranty rights apply. For businesses, the limitation period for claims for defects is one year from delivery of the goods. This does not affect claims arising from intent, gross negligence, or under the Product Liability Act.
12. Liability
We are liable without limitation for intent and gross negligence as well as for injury to life, body, and health and under the Product Liability Act. For slight negligence, we are only liable for breaches of essential contractual obligations. In such cases, liability is limited to the typical foreseeable damage.
13. Applicable Law and Jurisdiction
German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.
If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is Leipzig. The same applies if the customer is domiciled abroad.

15. Final Provisions
No verbal side agreements exist. Amendments and supplements must be made in writing. Should any provision of these terms and conditions be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
